1.   Services

Nkosi Private Tutor (hereinafter referred to as NPT) agrees to provide online tutoring services to Student in the subject of mathematics and/or science. Tutoring sessions will be conducted online using Google Meet & Web Whiteboard by Miro and will be scheduled in advance at a mutually agreed upon time. Each tutoring session will last for 1 hour unless otherwise specified.

2. Fees

Client agrees to pay Tutor a fee of R 396.00 per tutoring session.

• Fees are payable in advance and are non-refundable for cancelled sessions with less than 24 hours' notice.
• You agree to make use of this package within 365 days of signing this contract and understand that any lesson(s) not used before this date for any reason, will expire and NPT will become exempt from delivering any further lesson(s) to you in terms of this Agreement.
• NPT reserves the right to temporarily suspend its services to you at any time over the course of the contract, in the event of it receiving any complaint from yourself or in the event of it experiencing any difficulties in respect of rendering its services to you.

3.  Cancellation and Rescheduling

Either party may cancel or reschedule a tutoring session with at least 24 hours' notice. If Student cancels a session with less than 24 hours' notice, Tutor will retain the full fee for that session. If Tutor cancels a session with less than 24 hours' notice, Tutor will refund the full fee to Student.

4.  Obligations of the Tutor

Tutor agrees to:

• Be prepared for each tutoring session by reviewing the material to be covered and developing a lesson plan.
• Provide clear and concise explanations of the material to Student.
• Be patient and supportive and create a positive learning environment.
• Maintain confidentiality of Student's information.

5.  Obligations of the Student

Student agrees to:

• Attend all scheduled tutoring sessions on time and prepared.
• Be actively engaged in the tutoring sessions and to participate in discussions and activities.
• Complete any assignments or homework assigned by Tutor.
• Follow Tutor's instructions and to abide by the Tutor's policies and procedures.

6.  Limitation of Liability

• NPT warrants that it will provide its services to the best of its abilities in a timely and efficient manner. As the client, however, you agree that NPT will not be held accountable or responsible for the academic success or lack thereof demonstrated by the student and further that NPT offers no guarantee in respect thereof.
• NPT will not be held liable for any direct, incidental, consequential, indirect, special, general or similar damages arising out of the use of the tutoring service.
• As our client, you further agree to waive any and all claims arising out of the use of this tutoring service.

7.   Term and Termination

This Agreement will commence on the Effective Date and will continue in effect until terminated by either party upon 2 days' written notice to the other party.

8.  Term and Termination

This Agreement will be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising out of or in connection with this Agreement will be resolved by binding arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).

9.  Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

10. Intellectual Proprietary Rights

All the material, used/or created by NPT is copyrighted, therefore the publication or distribution, in whole or part, of any materials is prohibited without the express prior written consent of NPT.

11.  Transfer of Contract

No rights and/or obligations under this agreement may be ceded, assigned or otherwise transferred without the prior written consent of NPT

12. Limitation of Contract

Services will be limited to the tuition of the previously mentioned subjects only.

13.  Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision will be struck from this Agreement and the remaining provisions will remain in full force and effect.

14.  Waiver

No waiver of any provision of this Agreement will be effective unless in writing and signed by both parties.

15.  Counterparts

This Agreement may be executed in one or more counterparts, each of which will be deemed an original, but all of which together will constitute one and the same instrument.

16.  Agreement

I, the undersigned Client hereby:

• Acknowledge and agree to abide by such terms and conditions as set out above and accept full responsibility for the payment of all fees;
• Confirm that all details furnished by me in this contract are true and correct. Payment to be made in one of the following manners:
  • EFT
  • Direct deposits: An emailed deposit slip will be required as proof of payment.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first written below.
